Welcome to VeriLive.ai (“Company”, “we”, “our”, or “us”). These Terms of Service (“Terms”) govern your access to and use of the VeriLive.ai website (https://verilive.ai), VeriLive Software Apps, and related products and services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Description of the Service

VeriLive.ai provides a Zoom-integrated app that analyzes real-time meeting participants to determine if any user is using artificial intelligence (AI) to spoof their identity. The app may analyze video, audio, and behavioral signals to detect “liveness” and AI-generated activity.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use the Services. By using the Services, you represent that you have the authority to enter into these Terms on behalf of yourself or the entity you represent.

3. Account and Zoom Integration

To use our Zoom app, you must authorize access to your Zoom account. You agree to:

  • Provide accurate and up-to-date information
  • Maintain the confidentiality of your credentials and authorization tokens
  • Immediately notify us of any unauthorized use

You are responsible for any activity that occurs under your Zoom credentials while using VeriLive.ai.

4. User Responsibilities

You agree not to:

  • Use the Services for unlawful, harmful, or deceptive purposes
  • Attempt to reverse engineer, interfere with, or disrupt the functionality of the Service
  • Collect or store other users’ data without proper authorization
  • Use our Services to make decisions without human oversight in regulated or high-risk environments (e.g., hiring, surveillance, law enforcement)

5. Biometric and AI Analysis

Our app may perform real-time biometric and behavioral analysis (e.g., facial liveness detection) to detect potential AI spoofing.

  • We may store video or audio recordings to perform deepfake analysis.
  • Any biometric data processed is done temporarily and securely unless explicit consent is provided.
  • By using our Services, you grant us the right to process this data strictly for the purpose of detecting AI spoofing and maintaining platform integrity.

6. Intellectual Property

All content, software, logos, designs, trademarks, and algorithms used in the Services are owned by or licensed to VeriLive.ai. You are granted a limited, non-exclusive, revocable license to use the Services under these Terms. You may not copy, modify, distribute, or create derivative works from our intellectual property without written permission.

7. Disclaimer of Warranties

The Services are provided “as is” and “as available.”
We do not guarantee:

  • 100% accuracy in detecting AI-generated participants
  • That the Services will be uninterrupted or error-free
  • That all spoofing or deepfake attacks will be detected

We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the fullest extent permitted by law:

  • VeriLive.ai shall not be liable for indirect, incidental, special, or consequential damages;
  • Our total liability for any claims related to the Services shall not exceed the amount you paid us, if any, in the 12 months prior to the claim.

Use of our AI analysis tools is at your own risk. Do not rely solely on our results for critical decisions.

9. Indemnification

You agree to indemnify and hold harmless VeriLive.ai, its affiliates, and its shareholders, officers, directors, and employees from any claims, liabilities, damages, or expenses arising out of your use of the Services, your violation of these Terms, or your violation of any rights of another.

10. Modifications to the Service

We may update, suspend, or discontinue any part of the Services at any time without notice. We may also update these Terms from time to time. Continued use after changes become effective constitutes your acceptance of the revised Terms.

11. Termination

We reserve the right to terminate or suspend your access to the Services at our sole discretion, without liability or notice, for any reason, including if you violate these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Telluride.
